The Republic of Seychelles is a group of islands in
the Indian Ocean comprising over one hundred named islands, most
being situated between four and five degrees south of the equator.
The largest island Mahe is 17 miles long by 5 miles across. The
capital of Mahe is Victoria.
The Seychelles economy is primarily tourism based, but it also
has a rapidly expanding financial sector, linked to the
establishment of offshore structures and encouraging inward
investment.
The official language is English. However, Creole is spoken
widely and many also speak French.
The currency used in the islands is the Seychelles Rupee.

the International Business Companies Act 1994 (Act 24 of 1994)
Company Names
Names can be incorporated in any language, but must be
accompanied by a translation into English or French. The
Documentation is issued in English and French, but it is possible
to have bilingual documentation. Name endings that may be used to
denote limited liability, i.e.: "Limited", "Corporation",
"Incorporated", "Societe Anonyme", or their
abbreviations. Other name endings such as BV, GmbH, SARL may also
be used.
Time scale to incorporate an IBC in Seychelles
The Companies are incorporated the same day they are requested,
but up to five to seven working days are required for the
delivery of the documentation.
Authorised Share Capital
For Seychelles IBCs, there is no minimum share capital required.
They are normally incorporated with an authorised share capital
of US$5,000 with par value to take advantage of the minimum
capital registration fee payable at the time of incorporation and
annually thereafter. The Authorised Share Capital may be
expressed in any currency.
Shareholders
There are no limitations as to number or nationality. We can
assist you with nominee shareholders. The minimum number of
Shareholders is one.
Shares
Bearer, nominative, par or no par value shares, as desired.
Directors
The minimum number of directors is one. Directors may be
individuals or corporate bodies and of any nationality. They need
not be resident in the Seychelles.
Accounting
There is no need to file financial statements
Taxation
IBC's are subject to zero taxation in Seychelles
Registered Agent/Registered Office
Seychelles IBC's are required to have a registered agent and
registered office in the Seychelles.
Important Feature
An important feature of the Seychelles IBC Act is that the
incorporation fees are fixed for life. Even if annual renewal
fees are increased in future, a company incorporated before such
an increase came into effect will not be affected adversely.
Restrictions on trading
A Seychelles IBC cannot trade within the Seychelles or own real
estate there. Nor can it undertake the business of Banking, Trust,
Insurance, Assurance, Re-Insurance or any other activity that
would suggest an association with the Banking and Insurance
industries. A Seychelles IBC cannot provide Registered Office
facilities in the Seychelles, or sell its shares to the public.
Powers of a Seychelles Incorporated Company
A Seychelles incorporated company has the same powers as a
natural person.
Shelf Companies
