The name of a Delaware company may be in any language provided the name is written in Roman letters. All names must contain a word denoting corporate personality such as "company", "Corporation", "Incorporated", "Limited" or abbreviation thereof. To effect registration, a proposed company name must be distinguishable from a prior registration or reservation.

Shareholders

At least one shareholder is required. There are no residency or nationality requirements. There is no record kept in Delaware of existing shareholders.
Authorised Share Capital - There is no minimum ( or maximum ) authorised or paid-up share capital requirements.

Directors

The minimum requirement is for one director. There are no residency or nationality requirements. Directors do not need to be shareholders. There is no record kept in Delaware of existing directors.

Meetings

Shareholders and Directors meetings may be held anywhere in the world; and, provided certain formalities are observed, resolutions of shareholders and directors may be in writing in lieu of a formal meeting if required.

Taxation

An Annual Franchise Tax Report is due from every Delaware corporation on or before 1st March covering the preceding calendar year. We can assist clients in the preparation and filing of this document. The Annual Return filing fee is US$20.
The Franchise Tax payable to the State Authorities will depend upon the authorised share capital but may be as little as $30.
A corporate Income Tax and Business License Tax are imposed on corporations actually carrying on business in the state of Delaware.

Registered Office and Agent

A registered office and agent for service of legal process must be maintained within the State of Delaware. We can provide these services on your instructions.
